GENERAL TERMS AND CONDITIONS OF SALE – Nuralis

By visiting or making a purchase on the website www.trynuralis.com, you unconditionally agree to these General Terms and Conditions of Sale (the “Terms”). These Terms establish the rules applicable between Nuralis (the “Company”) and any individual browsing or making a purchase on the Site (the “User”).

🔹 PRELIMINARY ARTICLE – DEFINITIONS

  • Customer: A User who has created an account and/or purchased one or more Products on the Site.

  • Order: The process by which the Customer selects the desired Products, chooses the type of delivery, and completes payment.

  • Product: Any product available for viewing and/or purchase on the Site.

  • User: Any individual who accesses the Site, whether a Customer or not.

  • Site: The main website and associated pages under the domain http://www.trynuralis.com/.

🔹 ARTICLE 1 – PURPOSE AND SCOPE OF THE TERMS

These Terms define the conditions under which Users may access and use the Site.

All parties are bound by the Terms, Conditions, and Policies described here and in the referenced links.

By browsing the Site or purchasing a Product, the User accepts these Terms without limitation.

The Terms must be accepted before finalizing any order.

Any new functionality or product added to the Site will also be subject to these Terms.

🔹 ARTICLE 2 – CURRENT VERSION OF THE TERMS

The valid version of these Terms will always be the latest published on the Site.

NURALIS may update, modify, or replace the Terms at any time without prior notice.

Continued use of the Site after any modification constitutes acceptance of the new version. Otherwise, the User must refrain from using the Site.

🔹 ARTICLE 3 – CONDITIONS OF USE OF THE SITE

The Site is hosted by Shopify Inc., which provides the e-commerce platform.

The User declares that they are of legal age in their country, or have the necessary consent to allow minors access.

If the User is a legal entity, it must be duly represented by an authorized legal representative.

The User may not use the Site for illegal or unauthorized purposes.

The use of viruses, malicious software, or harmful code of any kind is strictly prohibited.

NURALIS may interrupt Site services at any time, without prior notice, and shall not be held liable for such interruptions.

🔹 ARTICLE 4 – GENERAL PROVISIONS

NURALIS reserves the right to deny access to the Services to any person, at any time, and for any reason. We may also limit the sale of products or services to specific geographic regions or jurisdictions.

NURALIS may limit the quantities of any product or service offered.

The User acknowledges that all product descriptions and prices may be modified at any time without notice, at the sole discretion of NURALIS.

NURALIS may suspend the availability of any product at any time, without notice.

Any offer presented on the Site shall be void where prohibited by law.

🔹 ARTICLE 5 – PRICES

The User acknowledges and accepts that Product prices may change without prior notice, particularly due to variations in raw material costs, logistics, or other external factors.

The applicable prices shall be those displayed on the Site at the time the Order is placed.

All prices are shown in U.S. dollars and include all applicable taxes.

🔹 ARTICLE 6 – PRODUCT PRESENTATION

The User is informed that the photographs of Products available on the Site are intended to represent their appearance as faithfully as possible, including color.

NURALIS cannot guarantee that the Product received will be identical to the image, due to technical differences in screens or other factors.

NURALIS does not guarantee that the quality of any Product, service, or information will meet the User’s expectations, nor that any errors will be corrected immediately.

The User acknowledges that the Site may contain typographical errors, inaccuracies, or omissions relating to descriptions, prices, promotions, shipping costs, delivery times, or availability. NURALIS reserves the right to correct such errors and cancel Orders if necessary, even after they have been placed.

NURALIS is not obligated to update or modify Site information unless required by law.

The User accepts these conditions and releases NURALIS from liability on this point, except where otherwise required by law.

🔹 ARTICLE 7 – OPTIONAL TOOLS

NURALIS may provide access to third-party tools over which it has no control or monitoring.

The User acknowledges that these tools are provided “as is” and “as available,” without any warranty or endorsement of any kind from NURALIS.

Use of these tools is at the User’s sole risk and responsibility. It is recommended that the User review the applicable terms and conditions of such third parties.

The User acknowledges and agrees that NURALIS cannot be held liable for the use of external tools, except as provided by law.

🔹 ARTICLE 8 – THIRD-PARTY LINKS

Some content, products, or services available on the Site may include materials from third parties.

External links may redirect the User to websites outside of NURALIS. NURALIS is not responsible for the content, accuracy, or operation of such external sites.

NURALIS shall not be liable for any damages or losses arising from transactions conducted with third-party sites.

The User must carefully read the policies and terms of third parties before making any purchase. Any claims must be directed to those third parties.

🔹 ARTICLE 9 – USER COMMENTS, SUGGESTIONS, AND SUBMISSIONS

If the User submits ideas, suggestions, comments, or any type of content (via email, social media, or on the Site), NURALIS reserves the right to use them without restriction, including editing, publishing, or distributing them in any medium.

NURALIS is not obligated to keep them confidential, to provide compensation, or to respond.

NURALIS may, but is not obligated to, moderate, remove, or edit content deemed offensive, illegal, vulgar, threatening, defamatory, or in violation of these Terms.

The User agrees not to infringe on third-party rights or submit false or misleading content.

The use of false email addresses or impersonation is strictly prohibited.

The User is solely responsible for their comments and any resulting consequences. NURALIS assumes no responsibility for them.

🔹 ARTICLE 10 – PERSONAL INFORMATION

🔹 ARTICLE 11 – ACCURACY OF BILLING AND ACCOUNT INFORMATION

The Customer agrees to provide true, complete, up-to-date, and accurate information regarding their account and Orders placed on the Site.

The Customer also agrees to update their personal information (email address, payment details, etc.) so that their Order can be processed correctly.

NURALIS reserves the right to limit or refuse Orders that, in its sole discretion, appear to be placed by resellers or distributors.

🔹 ARTICLE 12 – PROHIBITED USES

The User agrees not to use the Site or its content for the following purposes:

  • Illegal activities or inciting others to commit illegal acts

  • Violating the intellectual property rights of NURALIS or third parties

  • Submitting false, defamatory, or misleading information

  • Collecting personal data of other Users without consent

  • Sending spam, phishing attempts, or distributing malicious software

  • Circumventing or breaching the Site’s security measures

🔹 ARTICLE 13 – ORDERS

Users may browse the Site without any obligation to purchase. To place an Order, Products must be added to the shopping cart. Creating an account is not required to complete an Order.

Once payment has been processed, NURALIS will confirm the Order by sending an email to the Customer.

The Customer acknowledges that an Order that has been confirmed and is already being prepared for shipment cannot be canceled.

A tracking number will automatically be sent to the provided email address. The Customer is responsible for keeping this number and checking their spam folder if they do not receive it.

NURALIS will ship Products within 2 business days, except in cases of force majeure.

NURALIS agrees to fulfill confirmed Orders within the limits of available stock. It reserves the right to refuse an Order in the event of stock shortages or exceptional circumstances.

NURALIS may limit or cancel quantities per Customer, household, or Order.

In the event of a modification or cancellation, the Customer will be notified by email, phone, or postal mail.

🔹 ARTICLE 14 – SHIPPING, EXCHANGES, AND RETURNS

Shipping costs, including taxes, will be displayed to the Customer before confirming the Order.

These costs vary depending on the delivery region.

NURALIS relies on third-party logistics providers (carriers, couriers, etc.) and is not responsible for delays caused by them.

The tracking number serves as proof of delivery. In case of a dispute, the Customer must provide evidence of non-receipt.

In accordance with consumer law, Products cannot be refunded or exchanged unless defective. In such cases, the Customer must provide proof.

Products are delivered within 5 to 10 business days after shipping. On average, delivery takes 8 business days.

High demand may cause additional delays of 1 to 6 business days.

🔹 ARTICLE 15 – LIMITATION OF LIABILITY AND LEGAL WARRANTIES

NURALIS shall not be held liable for failing to fulfill its obligations when caused by third parties, by the Customer’s fault, or by force majeure.

The User accepts that NURALIS will not be responsible for damages resulting from the use of the Site or the Products (interruptions, errors, security failures, etc.).

Use of the Site is at the User’s sole risk. All services are provided “as is” and “as available.”

In no case shall NURALIS or its partners be liable for damages such as loss of income, data, reputation, product replacement, etc., even if advised of their possibility. Where limited by law, such limitation shall apply to the fullest extent permitted.

The Customer has 14 days to exercise their right of withdrawal without justification, except for return shipping costs. This right only applies if the Product has not been opened, used, or damaged.

The withdrawal period begins on the day the Product is received. The Customer must notify their decision by emailing info@trynuralis.com.

For a valid withdrawal, NURALIS will refund the amounts paid within 14 days after receiving the returned Product.

If the returned Product is damaged, used, or missing its original packaging, no refund will be issued.

The Customer may file a claim if the delivered Product is not in conformity (legal warranty of conformity).

The Customer has up to 2 years to report non-conformity and request repair or replacement. NURALIS may choose the less costly option if applicable.

The statutory warranty against hidden defects (civil code provisions) also applies.

This warranty does not cover damage caused by misuse, improper transport, modifications, or negligent use of the Product.

The warranty only applies if the Product is returned in its original condition, with packaging, labels, accessories, and instructions included.

🔹 ARTICLE 16 – INDEMNIFICATION

The User agrees to indemnify and hold harmless NURALIS, its parent company, subsidiaries, partners, employees, and suppliers from any claim or demand (including reasonable legal fees) arising out of a breach of these Terms or violation of third-party rights.

🔹 ARTICLE 17 – SEVERABILITY

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be severed from the remaining provisions, which shall remain valid and enforceable.

🔹 ARTICLE 18 – TERMINATION

Obligations incurred by the parties prior to the termination date shall survive termination.

These Terms remain in effect until terminated by either NURALIS or the User.

The User may terminate these Terms at any time by notifying NURALIS that they no longer wish to use the Site or its services.

In the event of a breach of these Terms by the User, or if NURALIS reasonably suspects a breach, the agreement may be terminated without prior notice. In such cases, the User remains liable for any outstanding amounts up to the termination date, and access to the Site or Services may be denied in whole or in part.

🔹 ARTICLE 19 – NO WAIVER

Failure by NURALIS to exercise any right shall not be interpreted as a waiver of that right.

Any ambiguity in the interpretation of these Terms shall not be construed against the drafting party.

🔹 ARTICLE 20 – GOVERNING LAW

These Terms, as well as any additional agreements related to the services offered by NURALIS, shall be governed by and construed in accordance with the laws in force in Spain, which the User expressly accepts.

By opting into SMS marketing from NURALIS during checkout or through our subscription tools, you agree to receive recurring text messages (related to your order, abandoned cart reminders, promotions, and review requests), even if your number is registered on national do-not-call lists.

Message frequency may vary.

Consent is not a condition of purchase.

To stop receiving messages, reply STOP to any SMS we send or use the unsubscribe link included in the messages. No other method of opting out will be considered valid.

NURALIS does not charge for this service, but you are responsible for any messaging and data fees imposed by your mobile provider. For assistance, reply HELP to the number you received messages from, or contact us at info@trynuralis.com.

NURALIS may change the sending number or short code at any time. You acknowledge that messages sent to a previous number may not be received.

NURALIS shall not be liable for undelivered, delayed, or misdirected messages, or for decisions made based on information contained in such messages.
